Terms of Service

1. Acceptance of Terms
By installing or using ParentChild ("the Service"), operated by Signal Helm LLC, a Colorado limited liability company ("we", "us", "our"), you agree to these Terms of Service. If you do not agree, do not install or use the Service.
2. Description of Service
ParentChild is a HubSpot integration that automatically creates parent-child company associations based on domain hierarchy. The Service is provided as-is and requires an active HubSpot account.
3. Account and Access
- You must have authorization to install apps on your HubSpot portal
- You are responsible for maintaining the security of your HubSpot account
- You grant ParentChild permission to access company domain and name data, your account email address, and to create company associations via HubSpot's API
4. Service Tiers
Free Tier
- 100 parent-child associations per billing cycle
- Automatic background processing via webhooks
- Available on all HubSpot plans
Pro Tier ($19/month or $149/year)
- Unlimited associations
- Custom workflow action (requires HubSpot Professional or Enterprise)
- Additional customization options
- Priority support
5. Billing and Cancellation
- Pro tier is billed monthly or annually through Lemon Squeezy, which acts as the Merchant of Record for all transactions. Lemon Squeezy is the legal reseller and handles all payment processing, tax collection, and remittance.
- You may cancel at any time; access continues through the end of the billing period
- No refunds for partial billing periods. For billing inquiries or refund requests, contact hello@parentchild.app or Lemon Squeezy support.
- Free tier users may use the Service indefinitely at no cost within the stated limits
- Uninstalling ParentChild does not cancel your subscription. You must cancel your Pro subscription separately before or after uninstalling to avoid continued billing. To cancel: visit your ParentChild settings page and use the Manage Subscription link to access the Lemon Squeezy customer portal, or contact hello@parentchild.app.
6. Acceptable Use
You agree not to:
- Use the Service to violate any applicable law or regulation
- Attempt to bypass usage limits or access controls
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to process data you do not have the right to process
7. Data and Privacy
Our use of your data is governed by our Privacy Policy. By using the Service, you acknowledge and agree to our data practices as described therein.
8. Intellectual Property
The Service, including its code, design, and documentation, is owned by Signal Helm LLC. You retain all rights to your HubSpot data.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL HELM LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Deactivation and Termination
Deactivation (Disconnect)
You may deactivate ParentChild at any time from the settings page. Deactivation pauses all automatic processing but preserves your settings, association tracking history, and usage data. You may reactivate at any time.
Uninstallation (Termination)
- You may terminate by uninstalling the app from your HubSpot portal (Settings → Integrations → Connected Apps)
- We may terminate your access if you violate these Terms
- Upon uninstallation, your OAuth tokens, account email, settings, and association tracking records are permanently deleted
- Usage counts, your tier (Free/Pro), and original install date are preserved across uninstall and reinstall to prevent abuse of the free tier
- Existing parent-child associations in HubSpot are not affected by uninstalling — they are native HubSpot association records and remain in place
- The "Remove All Associations" feature becomes unavailable after uninstall because the tracking data needed for selective removal is deleted. If you wish to remove ParentChild-created associations, do so from the settings page before uninstalling.
- Any active subscription is not automatically canceled upon uninstall — see Section 5
12. Changes to Terms
We may modify these Terms at any time. Continued use after changes constitutes acceptance of the modified Terms.
13. Governing Law
These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict of law principles.
